Order Agreement for Pyrexia
NHS SBS/Tradeshift Invoicing.

This Agreement takes effect when the associated produce is ordered (or if through a portal, when you click the “I accept” button or similar checkbox presented with these terms or purchased via the product page). In signing this Agreement, you represent to us that you agree to the terms of this Agreement, and that you are lawfully able to enter into contracts.  If you are entering into this Agreement on behalf of an entity (such as the company which you work for), you represent to us that you have legal authority to bind that entity. If you do not agree to the terms of this Agreement, or if you are not authorised to accept these terms on behalf of the Customer, do not download, install, access, or use any of the Offerings.

 

1.     Scope of Order: This Order governs the Customer's subscription to Pyrexia's SaaS offering as specified in the SaaS Agreement.

2.     Subscription Term: The initial term of the subscription shall be for 1 month from the Effective Date of the SaaS Agreement ("Initial Term").

3.     Renewal Term: Following the Initial Term, this subscription shall automatically renew on a month-to-month basis ("Renewal Term") unless either party provides a cancellation notice.

4.     Cancellation Policy: The Customer may cancel the subscription by providing written notice at least 30 days prior to the renewal date. Cancellation notices received after the renewal date will invoke a Notice Period of one month, during which the agreed fees will be payable.

5.     Fees and Payment: The fees for the Renewal Term will be arranged and confirmed 90 days before the renewal date. Payment will be arranged via Pyrexia's platform.

6.     General Terms: All other terms as outlined in the SaaS Agreement and the Mutual NDA, including but not limited to service limitations, data privacy, and intellectual property, will remain in effect.

7.     Entire Agreement: This Order, together with the SaaS Agreement, NDA, privacy policy, and terms and conditions constitutes the entire agreement between the Provider and the Customer with respect to the subject matter hereof and supersedes all prior agreements and understandings, both oral and written.
